DigitalCFO usage agreement:
DigitalCFO CORP ("DigitalCFO" or "we") provides accounting & compliance software.
You are required to read this terms of service agreement carefully before using
DigitalCFO.Clicking "PLEASE REGISTER YOUR COMPANY" confirms that you and users setup,
enabled, permitted by you in DigitalCFO agree to be bound by this agreement.This agreement
is between DigitalCFO CORP (DigitalCFO) and the entity or individual and the users in that entity
/ company and / or added, setup, enabled, and / or permitted by this user.
YOU ACKNOWLEDGE, CONFIRM AND AGREE THAT, BY CLICKING ON THE "PLEASE REGISTER YOUR COMPANY" BUTTON, REGISTERING FOR DigitalCFO ACCOUNT AND USING THE DigitalCFO SOFTWARE, YOU ARE INDICATING THAT YOU HAVE READ, UNDERSTAND AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE. IF YOU OR USERS SETUP, ENABLED AND / OR PERMITEDBY YOU DO NOT AGREE TO THESE TERMS OF SERVICE, THEN YOU HAVE NO RIGHT TO REGISTER AND / OR USE DigitalCFO.
If you accept or agree to these Terms of Service on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that company or other legal entity to this Terms of Service agreement and, in such event, "you" and "your" will refer and apply to that company and all users in that company including vendors and customers of the company or other legal entity.
Subject to this Agreement, DigitalCFO grants to you / Customer a non-exclusive, non-transferable, non-sub-licensable revocable license (License) to access and use a cloud based software when you / Customer register for a DigitalCFO account and as further outlined at myidos.com (product). When registering for DigitalCFO you will provide Information that is necessary so you can use DigitalCFO, including, but not limited to, company name, individual name, address, phone number and email address.You / Customer may allow other DigitalCFO users (Other Users) to access your / Customer's account. You / Customer are solely responsible for all access granted to Other Users and the actions of Other Users on your / Customer's account. DigitalCFO accepts no liability or responsibility for any actions by an Other User on your / Customer's account.
DigitalCFO reserves the right to gather aggregate data for the purpose of analysis. Aggregate data is such data not limited to one user / customer, but data that are tracked across time, across Organisations, across users, or across some other variable. The purpose of gathering aggregate data is to analyze the expenses / spending / income patterns across sectors and geographies and provide you with suggestions for cost optimizations. The information may be used to choose content and advertising likely to appeal to you / your company.
It is DigitalCFO policy that DigitalCFO, its directors, officers, employees, agents or consultants will not make any changes to your / Customer Data, except in the event of a termination of this Agreement. However, in certain circumstances, DigitalCFO, its directors, officers, employees, agents or consultants will make changes to your / Customer Data, including changes or amendments to files a your / Customer sends to DigitalCFO, if a you / Customer or a your / Customer's Other Users request such changes or amendments. Sometimes DigitalCFO, its directors, officers, employees, agents or consultants need to change information in your / Customer's account so DigitalCFO can fix technical issues that prevent DigitalCFO from properly delivering the performance of DigitalCFO.
You / Customer (i) must keep its passwords secure and confidential; (ii) is solely responsible for Customer Data and all activity in its account in the Service; (iii) must use commercially reasonable efforts to prevent unauthorized access to its account, and notify DigitalCFO promptly of any such unauthorized access; and (iv) may use the Service only in accordance with the terms of service agreement and all applicable laws.
If You / Customer has registered for a trial use of DigitalCFO, you / Customer may access DigitalCFO for a trial period granted by DigitalCFO. DigitalCFO is provided AS IS, with no warranty during this time period. All Customer data may be deleted after the trial period, unless Customer converts its account to a non-trial account BY PAYING THE SUBSCRIPTION FEE AND ACCEPTING TERMS OF USAGE AGREEMENT.
An invoice for the subscription fee will be issued by email, each month starting one month from the date You register your DigitalCFO account. All invoices will include the subscription fee for the preceding period one month of use. DigitalCFO will continue invoicing You monthly until this Agreement is terminated.
Customer is responsible for the payment of all sales, use, withholding, VAT and other similar and applicable taxes. This agreement contemplates one or more orders for the Service, which orders are governed by the terms of this agreement.
All DigitalCFO invoices will be sent to You, or to a registered user in whose name you registered yourself / company with DigitalCFO, by email. You must pay or arrange payment of all amounts specified in any invoice by the due date for payment and are payable within 3 days of the invoice date, failing which DigitalCFO will either de-activate / delete your account and / or deny processing capability on your account on completion of 3 days from the date of that invoice which remains unpaid.
You may from time to time be offered preferential pricing. Eligibility for such preferential pricing or discounts is conditional upon Your acceptance of responsibility for payment of any subscription fee in relation to all of Your branches. Without prejudice to any other rights that DigitalCFO may have under these Terms or at law, DigitalCFO reserves the right to render invoices for the full (non-discounted) subscription fee due or suspend or terminate Your use of the Service in respect of any or all of Your Organisation / branch in the event that any invoices for those subscription fee are not paid in full by the due date for payment.
You / company must only use DigitalCFO and Website for Your own lawful internal business purposes, in accordance with these Terms. You may use DigitalCFO and Website on behalf of others or in order to provide services to others but if You do so you must ensure that You are authorized to do so and that all persons for whom or to whom services are provided comply with and accept all terms of this Agreement that apply to You. DigitalCFO will not be directly or indirectly responsible for services provided by you to your customers.
Where available, subscribed by you / company and where this feature is deployed, automated bank account transaction data feeds are generally provided to You. DigitalCFO reserves the right to pass on any charges related to the provision of bank feed data on a case-by-case basis at DigitalCFO's sole discretion. DigitalCFO would first inform You / company via email to indicate what those charges are likely to be (as such charges may vary depending on Your bank and Your volume of bank feeds). You have the option to decide to discontinue use of automated bank feeds at any time. To exercise this option, you must give DigitalCFO sufficient prior notice of which automated bank account transaction data feeds you want to discontinue. Upon receiving such notice DigitalCFO will arrange for such feeds to be terminated in accordance with each bank's usual practices.
DigitalCFO will evolve over time based on user feedback and / or research. These Terms are not intended to answer every question or address every issue raised by the use of the DigitalCFO Service. DigitalCFO reserves the right to change these terms at any time, effective upon the posting of modified terms and DigitalCFO will make every effort to communicate these changes to You via email or notification via the Website. It is likely the terms of use will change over time. It is Your obligation to ensure that You have read, understood and agree to the most recent terms.
Confidential Information means all non-public information disclosed by a party (Discloser) to the other party (Recipient), whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure (Confidential Information). DigitalCFO Confidential Information includes without limitation DigitalCFO software (including without limitation the user interface design, workflows, logic, concept and layout).The Recipient must use the same degree of care that it uses to protect the confidentiality of its own confidential information (but in no event less than reasonable care) not to disclose or use any Confidential Information of the Discloser for any purpose outside the scope of this agreement. The Recipient must make commercially reasonable efforts to limit access to Confidential Information of Discloser to those of its employees and contractors who need such access for purposes consistent with this agreement and who have signed confidentiality agreements with Recipient no less restrictive than the confidentiality terms of this agreement.
Exclusions. Confidential Information excludes information that: (i) is or becomes generally known to the public without breach of any obligation owed to Discloser, (ii) was known to the Recipient prior to its disclosure by the Discloser without breach of any obligation owed to the Discloser, (iii) is received from a third party without breach of any obligation owed to Discloser, or (iv) was independently developed by the Recipient without use or access to the Confidential Information. The Recipient may disclose Confidential Information to the extent required by law or court order, but will provide Discloser with advance notice to seek a protective order.
Reservation of Rights. The software, workflow processes, user interface, designs, know-how, and other technologies provided by DigitalCFO as part of the Service are the proprietary property of DigitalCFO and its licensors, and all right, title and interest in and to such items, including all associated intellectual property rights, remain with their respective owners. You / Customer may not remove or modify any proprietary marking or restrictive legends in the Service. DigitalCFO reserves all rights unless expressly granted in this agreement.
